    Mr. Hsin-Nan Kan was elected as the Chairman of the 17th Board of Directors of Singatron Enterprise Co., Ltd. on June 4, 2025. He is responsible for directing the Group's overall sustainable development, corporate governance, and major investment and financing decisions, as well as presiding over shareholders' meetings and board meetings. Chairman Kan possesses exceptional operational judgment and crisis management experience. Through his long-term dedication to the connector industry, he has established a solid foundation for the company's steady and robust growth.

    Mr. Peng-Huang Peng was elected as the Vice Chairman of the 17th Board of Directors of Singatron Enterprise Co., Ltd. on June 4, 2025. He is responsible for the Group's key business strategies, customer relationships, and major operational planning, assisting the Chairman in coordinating the development of the Group's various business units. Mr. Peng possesses extensive experience in the electronics and technology industry, coupled with a strategic management vision for multinational corporations.

    Mr. James Yang has served as the General Manager of the Taiwan Headquarters since June 1, 2025. Having previously served as the Chairman of the Taiwan Electronic Connector Association (TECA), he possesses extensive, comprehensive management experience in the connector industry. His areas of expertise encompass connector product technology development, customer relationship management, and overall business operations.

    Mr. James Yang also formerly served as the Chairman of the Group’s Greater China Business, during which he led the subsidiary, Singatron Electronic (China) Co., Ltd., to a successful public listing on the Shenzhen Stock Exchange. By integrating operations management across Greater China and optimizing customer service experiences, he has made significant contributions to the Group's strategic expansion and positioning across Taiwan, mainland China, and Hong Kong.

General Manager Li possesses years of extensive experience in factory management and product development within renowned foreign enterprises and domestic electronics manufacturing companies. His professional background includes managerial positions at prominent corporations such as FIH Mobile (Foxconn), Wistron NeWeb Corporation (WNC), Foxlink, and Molex Taiwan.

    Organizational Structure

    Through efficient organizational management, we ensure precise execution of directives and maintain the Company’s responsiveness in a rapidly changing market.

    Responsibilities and Functions of Each Department

    1.Remuneration Committee

    The Remuneration Committee assists the Board of Directors in the development and evaluation of the Company’s overall compensation and benefit policies, as well as the remuneration of directors and managerial officers.



    2.Audit Committee

    The Audit Committee serves as a key element of the corporate governance framework. Through its professional expertise and independent position, it assists the Board of Directors in decision-making.



    3.General Manager

    Responsible for the overall management of the Company’s operations, including production, sales, and the planning and execution of operational objectives.



    4.Internal Audit Office

    Responsible for auditing and reviewing the Company’s internal regulations, processes, approval procedures, and related systems, and providing improvement recommendations.



    5.Suzhou Plant (Singatron China)

    Responsible for the R&D, production, and sales of connector products in the Eastern China region.



    6.Zhongshan Plant (Singatron Zhongshan)

    Responsible for the R&D, production, and sales of connector products in the Southern China region.



    7.Technology Center

    Responsible for new product and new customer technology development, as well as new product introduction (NPI) and technical support across all Group facilities.



    8.Marketing & Sales Division

    Responsible for enhancing the Company and product brand image, planning new product and market positioning and development, expanding domestic and international markets, and achieving the Company’s sales performance targets.



    9.Administration & Finance Division

    • Responsible for finance, accounting, treasury, and cost control operations; formulation and execution of short-, mid-, and long-term funding and cash management plans; establishment of annual budgeting and profit center systems.

    1. Succession Planning and Implementation for Board Members


    The selection and election of the Company’s directors adopt a candidate nomination system, with each term lasting three years. The Board of Directors consists of seven members (including three independent directors). All members possess leadership and decision-making capabilities, operational judgment, business management expertise, financial and accounting proficiency, industry-academic knowledge, a global market perspective, crisis management abilities, and other specialized management skills essential to the Company’s operations.


    In accordance with regulatory requirements, the independent directors possess essential professional experience in commerce, law, finance, accounting, or areas required by the Company's business. Currently, the academic backgrounds, professional experience, and expertise of all board members align with the Company’s Board Diversity Policy.


    Unless otherwise provided by laws, regulations, or the Articles of Incorporation, the election of directors shall be conducted in accordance with the Company’s "Rules for Election of Directors". To strengthen the effectiveness of directors in performing their duties, the Company keeps pace with the times. We arrange annual continuing education courses based on changes in internal and external environments as well as development needs, thereby enhancing the directors' professional knowledge and expertise.


    Furthermore, the Company established the "Regulations Governing the Evaluation of Board of Directors Performance" on January 10, 2020. Internal evaluations of the Board of Directors and individual board members are conducted annually. The results of these performance evaluations serve as a key reference for the future selection, nomination, and reappointment of directors.



    2. Succession Planning and Implementation for Key Management


    In the Company's succession planning, potential successors must not only exhibit outstanding work capabilities but also share values aligned with the Company. Essential personality traits include integrity, commitment, innovation, and the ability to win customer trust. The Company implements talent development programs by integrating core and managerial competencies with targeted training and job rotation. The succession planning for senior management is structured as follows:


    Successor Nomination and Training:

    For each key position within the Company, at least one successor must be nominated. Regular training and development are conducted in alignment with the Company's core and managerial competencies. Successors are required to participate in both internal and external training programs—such as business strategy, leadership and management, and digital transformation—to broaden their professional perspectives and decision-making capabilities.


    Senior Management Competency Training:

    The training framework is divided into four modules: Managerial Capabilities, Professional Competencies, Individual Development Plans (IDPs), and Job Rotation. Training content covers human resources, financial risk, leadership, overseas assignments, EMBA programs, and language learning. Training schedules are customized annually based on individual job requirements and learning progress, with implementation reviewed periodically. Through professional competency training, trainees are expected to integrate and apply their skills, cultivating the decisive judgment necessary to meet future succession needs.


    Job Rotation and Deputy System:

    By combining job rotations with a robust deputy system, senior executives gain multi-functional, multi-dimensional leadership, management, and decision-making execution capabilities. This dual approach ensures sound organizational development and seamless corporate operations.



    3. Continuous Review and Improvement


    The succession plan is continuously reviewed and refined in response to corporate strategies and external environmental changes. This ongoing evaluation ensures the succession mechanism remains consistently effective and fully aligned with the Company’s long-term development goals.

    Responsibilities, Organization, and Operation of the Internal Audit Office

    1. Responsibilities of the Internal Audit Office


    The responsibilities of the Internal Audit Office are to assist the Board of Directors and senior management in independently and objectively evaluating the completeness, effectiveness, and implementation of the Company's internal control systems. It provides timely recommendations for improvement to reasonably ensure the continuous and effective operation of these systems. Furthermore, as commissioned by the Board and senior management, the Office provides relevant investigation, evaluation, or consulting services to assist them in fulfilling their corporate governance responsibilities.



    2. Organization of the Internal Audit Office


    The Internal Audit Office reports directly to the Board of Directors. It is staffed with one Chief Internal Auditor who oversees the Company’s internal audit operations and supervises the Office’s daily auditing work. The appointment or dismissal of the Chief Internal Auditor must be approved by the Board of Directors. The Chief Internal Auditor is responsible for executing both regular and irregular audits, as well as special project audits, across the Group.



    3. Operation of Internal Audit


    Annual Audit Plan and Execution:



    The Internal Audit Office shall formulate an annual audit plan based on the results of risk assessments, detailing the specific items to be audited each month. This annual plan must be rigorously executed to inspect the Company's internal control systems. Audit reports shall be prepared based on these inspections, accompanied by working papers and other relevant documentation.



    Communication, Reporting, and Follow-up:


    Internal auditors must communicate fully with the audited units regarding the findings of annual audits. Any deficiencies or abnormalities discovered in the internal control systems must be truthfully disclosed in the audit reports. Following the submission and approval of these reports, the auditors must track the issues and prepare quarterly follow-up reports until full rectification is achieved. This process ensures that the audited units take appropriate corrective measures in a timely manner. The aforementioned deficiencies, abnormalities, and their rectification status shall be included as key evaluation items in the performance appraisals of respective departments.



    Submission to Supervisors:


    Upon approval, the audit reports and follow-up reports shall be delivered to all Supervisors for review by the end of the month following the completion of the audit items. If internal auditors discover any material regulatory violations or identify situations where the Company is at risk of suffering material damage, they must immediately prepare a report for approval and notify all Supervisors.



    Regulatory Filings (FSC):

    The Internal Audit Office shall submit the following documents in the prescribed format via the internet information system to the Financial Supervisory Commission (FSC) for record-keeping:


    By the end of each fiscal year: The audit plan for the following year.


    Within two months after the end of each fiscal year: The execution status of the previous year's annual audit plan.


    Within five months after the end of each fiscal year: The rectification status of internal control system deficiencies and abnormalities identified during the previous year.


    Self-Assessment of Internal Controls:

    The internal auditors shall coordinate the annual "Self-Assessment of Internal Controls" within the Company in accordance with regulatory requirements. Under this process, operational personnel regularly review the rationality, implementation, and effectiveness of all control activities. After the Internal Audit Office reviews these self-assessments, the final results are compiled and reported back to the Board of Directors.
